Marketplace Listing Terms

1. Scope and Applicability
These Marketplace Listing Terms govern the creation, submission, publication, moderation, display and management of listings on the Haubot platform.
These Terms apply to all business users who create, submit, publish, manage, promote, edit, archive or otherwise use listings on Haubot, including listings for sale, auction, rental, lease, wanted requests and other listing formats made available by the platform.
These Terms apply together with Haubot's general platform terms, privacy policy, account rules, fee schedule, wallet rules, auction terms, optional service terms and any listing-specific or transaction-specific terms displayed on the platform.
Where a listing is published as an auction, the relevant auction terms also apply. Seller Managed Auctions are governed by the Seller Managed Auction Terms. Haubot Managed Auctions are governed by the Haubot Managed Auction Terms.
Where Haubot expressly agrees to provide separate managed sale, consignment, inspection, logistics, SecureTrade, documentation, payment-related or other optional services, separate terms may apply.
2. B2B Nature of the Platform
Haubot is a business-to-business platform.
Listings may be created, published, viewed, negotiated or transacted only by business users acting in the course of business, trade or professional activity.
Private individuals acting as consumers are not permitted to create listings, submit inquiries, purchase, bid, rent, lease or otherwise participate as consumers unless Haubot expressly allows a specific use case in writing.
By using the listing tools, each user confirms that it is acting as a professional business user and not as a consumer.
3. Role of Haubot
Haubot operates an online marketplace and provides digital tools for business users to create listings, present equipment, communicate with other business users, receive inquiries, conduct auctions, request optional services and manage platform activity.
Unless expressly agreed otherwise in a separate written agreement, Haubot does not act as:
- the seller;
- the buyer;
- the seller's agent;
- the buyer's agent;
- an undisclosed sales agent;
- a broker;
- a commercial representative;
- a consignee;
- a reseller;
- a payment processor;
- an escrow agent;
- a collection agent;
- a customs representative;
- a logistics provider;
- an inspection provider;
- a storage provider;
- a guarantor;
- an insurer;
- or a party to the underlying transaction between seller and buyer.
Haubot may moderate, approve, reject, remove, restrict, rank, display, promote or archive listings according to platform rules, technical requirements, safety standards, trust standards, compliance requirements and business policies.
Haubot's publication of a listing does not mean that Haubot has inspected, verified, certified, endorsed or guaranteed the listed item, seller, buyer, documents, ownership, price, condition, availability, exportability, importability or legal status.
4. Seller Responsibility
The seller is solely responsible for all information provided in a listing.
This includes, without limitation:
- title;
- description;
- category;
- brand;
- model;
- year;
- serial number;
- equipment type;
- technical specifications;
- configuration;
- condition;
- known defects;
- operating hours;
- mileage;
- location;
- price;
- currency;
- tax treatment;
- photos;
- videos;
- documents;
- ownership information;
- availability;
- release conditions;
- transport conditions;
- payment instructions;
- warranty or return statements;
- export or import restrictions;
- and all other information submitted to Haubot or displayed to other users.
The seller must ensure that each listing is accurate, complete, lawful, current and not misleading.
The seller must update or remove a listing if the listed item is no longer available, materially changes condition, becomes subject to a dispute, becomes restricted, is sold outside the platform where permitted, or can no longer be lawfully offered.
5. Seller Business Information
Haubot may require a seller to provide platform registration information before creating or publishing listings.
Such information may include:
- legal company name;
- company address;
- VAT number, tax number or company registration number;
- email verification;
- phone number verification;
- business profile details;
- contact person details;
- platform wallet setup;
- and acceptance of applicable platform rules.
Haubot may reject, restrict, suspend or terminate listing access if the seller does not provide required information, provides false or incomplete information, fails platform verification steps, breaches platform rules or creates risk for Haubot or other users.
Completion of platform registration does not mean that Haubot has verified the seller's ownership of listed items, legal authority, financial standing, tax position, bank account, documents, export eligibility, sanctions status or the condition of any item.
6. Listing Submission and Review
A seller may create and submit listings using the tools provided by Haubot.
Haubot may review listings before publication or after publication.
Haubot may approve, reject, suspend, remove, hide, restrict, archive or request changes to a listing at any time.
Haubot may take such action where it reasonably determines that a listing:
- is incomplete;
- is inaccurate;
- is misleading;
- contains prohibited content;
- contains prohibited goods;
- contains unsupported claims;
- is in the wrong category;
- uses poor-quality or misleading images;
- creates legal, compliance, fraud or reputational risk;
- violates sanctions, export control or trade restrictions;
- duplicates another listing;
- manipulates search, ranking or auction visibility;
- infringes third-party rights;
- violates platform rules;
- or is otherwise unsuitable for publication.
Haubot is not required to publish any listing.
Haubot's decision to publish a listing does not constitute acceptance of legal responsibility for the listing or listed item.
7. Listing Types
Haubot may support different listing types, including:
- For Sale listings;
- Auction listings;
- Rent listings;
- Lease listings;
- Wanted listings;
- request-based listings;
- service-related listings;
- or other formats made available by the platform.
Each listing type may be subject to additional rules, workflows, fees, review steps, deposits, visibility rules or transaction rules.
The seller is responsible for selecting the correct listing type.
Haubot may change, correct, reject or remove a listing if the selected listing type is inappropriate or misleading.
8. For Sale Listings
A For Sale listing allows a seller to advertise an item for sale at a stated price or under inquiry-based conditions.
Unless expressly stated otherwise, Haubot does not process the purchase price, issue the seller's invoice, verify payment, collect payment, release the item or guarantee completion of a For Sale transaction.
The seller and buyer are responsible for negotiating and completing any sale directly between themselves, unless they separately use an optional Haubot service.
9. Auction Listings
A listing may be offered as an auction where the platform provides auction functionality.
Auction listings may be Seller Managed Auctions or Haubot Managed Auctions.
Seller Managed Auctions are created and managed by the seller. In such auctions, the seller is responsible for the lot, description, invoice, payment, release and transaction completion. Haubot provides the platform and auction tools only, unless expressly agreed otherwise.
Haubot Managed Auctions are conducted, administered, invoiced, released or otherwise managed by Haubot or a Haubot entity, as stated on the auction page, lot page, auction confirmation or invoice.
Auction listings are governed by the applicable auction terms. In case of conflict between these Marketplace Listing Terms and the applicable auction terms, the auction terms shall prevail for the auction-specific matter.
10. Rent and Lease Listings
A Rent or Lease listing allows a business user to advertise equipment or assets for temporary use, rental, lease or similar commercial arrangement.
Unless expressly agreed otherwise, Haubot does not verify the rental terms, lease terms, insurance requirements, delivery obligations, maintenance obligations, return obligations, deposits, legal restrictions, tax treatment or performance of any rental or lease arrangement.
The listing creator and counterparty are solely responsible for negotiating, documenting and performing any rental or lease transaction.
11. Wanted Listings
A Wanted listing allows a business user to indicate that it is looking for specific equipment, parts, services, assets or opportunities.
The user creating a Wanted listing is responsible for ensuring that the request is accurate, lawful and not misleading.
Haubot does not guarantee that a Wanted listing will receive responses or result in a transaction.
12. Listing Content Requirements
Listings must be clear, accurate, professional and relevant.
A listing must not contain:
- false claims;
- misleading pricing;
- fake availability;
- wrong category placement;
- keyword stuffing;
- irrelevant brand names;
- unlawful content;
- abusive content;
- personal data that should not be public;
- third-party confidential information;
- infringing images;
- copied descriptions without rights;
- external links intended to bypass Haubot;
- direct contact details where platform rules restrict such disclosure;
- or any content that violates Haubot's rules.
Haubot may remove or restrict any content that does not meet platform standards.
13. Photos, Videos and Media
The seller is responsible for ensuring that all photos, videos, documents and other media uploaded to Haubot are accurate, lawful and authorized for use.
Media must represent the listed item honestly and must not intentionally hide material defects, damage, missing parts, altered serial numbers or other relevant facts.
The seller must not upload media that infringes copyright, trademark, privacy, confidentiality or other third-party rights.
Haubot may crop, resize, compress, format, watermark, translate, display, store, distribute or otherwise process media for platform operation, search, display, marketing, security, trust and technical purposes.
14. License to Use Listing Content
By submitting listing content to Haubot, the seller grants Haubot a worldwide, non-exclusive, royalty-free, transferable and sublicensable right to use, host, store, reproduce, display, publish, distribute, translate, adapt, crop, resize, format and promote such content for the purpose of operating, marketing, improving and securing the platform.
This license includes use of listing descriptions, photographs, videos, documents, technical information, company information, category data and related listing content.
The seller confirms that it has all necessary rights to grant this license.
This license continues for as long as necessary for platform operation, legal compliance, audit, dispute handling, fraud prevention, record keeping, marketing of historical listings and enforcement of platform rules.
15. Listing Accuracy and Availability
The seller must ensure that the listed item is available at the time of publication and remains available under the conditions stated in the listing.
The seller must promptly update, archive or remove a listing if:
- the item is sold;
- the item is no longer available;
- the item has materially changed condition;
- the item is damaged, lost, seized or stolen;
- the seller loses authority to sell or offer it;
- the listing contains a material error;
- the item becomes subject to a lien, pledge, title dispute or legal restriction;
- or the listing is otherwise no longer accurate.
A seller must not keep unavailable or misleading listings active.
16. Seller Representations
By submitting or publishing a listing, the seller represents and warrants that:
- the seller is a business user acting professionally;
- the seller has authority to create the listing;
- the seller has the right to offer the listed item;
- the listing information is accurate and not misleading;
- the seller will update the listing where material information changes;
- the listing does not infringe third-party rights;
- the listed item is not stolen;
- the listed item is not knowingly subject to undisclosed liens, pledges, seizures, retention of title, title disputes or legal restrictions;
- the listing does not violate sanctions, export control, customs, tax, safety or trade restrictions;
- the seller will not use Haubot to commit fraud, avoid fees, manipulate auctions or mislead other users.
17. No Haubot Warranty
Haubot does not warrant or guarantee any listing, seller, buyer, listed item, document, price, technical specification, condition report, description, media, availability, ownership, title, tax treatment, exportability, importability, safety status or regulatory compliance.
Users must conduct their own due diligence before entering into any transaction.
Haubot may provide platform tools, trust signals, optional services, badges, moderation, search functions, document tools or communication tools, but such features do not create a warranty or guarantee unless expressly stated in writing.
18. Optional Haubot Services
Haubot may offer optional services in connection with listings, including:
- inspection services;
- SecureTrade;
- logistics support;
- documentation support;
- translation support;
- marketing support;
- featured placement;
- payment-related services;
- managed sale services;
- consignment services;
- auction support;
- or other commercial services.
Optional services apply only where expressly requested, accepted or agreed.
Separate terms, fees, conditions, service descriptions and limitations may apply.
Using an optional service does not automatically make Haubot a party to the underlying sale, rental, lease or transaction unless Haubot expressly states so in writing.
19. Fees
Haubot may charge fees in connection with listings, accounts, auctions, optional services, promotions, deposits, wallet activity, transaction tools, inspections, SecureTrade, document handling, logistics support or other platform features.
Applicable fees may be displayed on the platform, in a fee schedule, invoice, service order, auction terms, listing terms, optional service terms or other transaction-specific document.
Fees may differ depending on listing type, auction type, category, country, seller status, service level, platform feature, transaction value, deposit tier or other criteria.
Unless expressly stated otherwise, fees are exclusive of VAT and other applicable taxes.
20. Deposits and Wallet Holds
Certain platform activities may require deposits or wallet holds.
Auction listings may require seller deposits.
Bidding may require buyer deposits.
Optional services may require prepayment, deposit, wallet hold or payment confirmation.
Deposits and wallet holds are governed by the applicable auction terms, wallet terms, fee rules, service terms or platform rules.
Deposits are not purchase price payments, not escrow funds, not insurance and not compensation for other users unless expressly stated otherwise.
Haubot may release, retain, offset or forfeit deposits according to the applicable platform rules.
21. Pricing
The seller is responsible for setting prices, starting prices, reserve prices, buy now prices, rental prices, lease prices or inquiry-based price indications where such fields are available.
The seller must not use misleading prices, fake discounts, hidden mandatory charges, false currency information or manipulative price structures.
Haubot may reject, remove or correct listings with pricing that appears erroneous, misleading, abusive, manipulative or incompatible with platform rules.
22. Communication and Inquiries
Users may communicate through platform tools where such tools are provided.
Haubot may restrict, monitor, moderate or review platform communications for fraud prevention, safety, compliance, support, platform integrity and enforcement purposes, subject to applicable law and privacy rules.
Users must not use platform communications to:
- mislead other users;
- harass other users;
- send spam;
- distribute malware;
- collect personal data unlawfully;
- bypass Haubot fees;
- manipulate auction outcomes;
- conduct prohibited transactions;
- or violate platform rules.
23. Non-Circumvention
Users may not use Haubot to identify, introduce, negotiate or develop a transaction opportunity and then complete, continue, restructure or disguise the transaction outside the platform in order to avoid Haubot fees, deposits, service rules, auction rules, platform processes or enforcement mechanisms.
Prohibited conduct includes:
- exchanging direct contact details where platform rules prohibit it;
- moving a transaction off-platform to avoid fees;
- cancelling or withdrawing a listing to complete the same transaction outside Haubot;
- using related companies, affiliates, representatives or third parties to avoid fees;
- misreporting transaction status;
- claiming that a transaction failed while completing it outside the platform;
- using private arrangements to avoid success fees or service fees.
If Haubot reasonably determines that circumvention occurred or was attempted, Haubot may charge applicable fees, retain or forfeit deposits, suspend accounts, remove listings, restrict access and take other platform enforcement action.
24. Prohibited Listings
A seller must not list items that are unlawful, stolen, counterfeit, misrepresented, unsafe, subject to unresolved ownership disputes, subject to undisclosed liens, subject to seizure, or otherwise prohibited by Haubot's platform rules.
The following may be prohibited or restricted:
- stolen equipment;
- counterfeit goods;
- goods with altered, removed or falsified serial numbers;
- items subject to liens, pledges or retention of title not clearly disclosed;
- items subject to court orders, seizure, insolvency proceedings or title disputes;
- sanctioned goods;
- goods located in sanctioned or restricted jurisdictions;
- military or defense items without required authorization;
- dual-use items without required authorization;
- hazardous materials;
- regulated chemicals;
- radioactive materials;
- equipment containing undisclosed hazardous substances;
- items that cannot lawfully be exported, imported, transported, sold or used;
- items that infringe third-party rights;
- or any item that Haubot determines to be incompatible with platform rules.
25. Sanctions, Export Control and Compliance
Each seller and buyer is solely responsible for compliance with all applicable sanctions, export control, import control, customs, tax, anti-money laundering, anti-bribery, anti-corruption, trade compliance, safety and regulatory laws.
Haubot does not verify exportability, importability, customs classification, sanctions status, end-use restrictions, licensing requirements or regulatory approvals for ordinary marketplace listings unless expressly agreed in a separate service.
Haubot may reject listings, remove listings, block inquiries, suspend accounts, restrict transactions, retain deposits or take other action where Haubot reasonably suspects legal, sanctions, export control, compliance, fraud or reputational risk.
26. Taxes, VAT, Customs and Invoices
The seller and buyer are solely responsible for determining and complying with all applicable tax, VAT, customs, import, export, invoicing, accounting, reporting and public charge obligations relating to their transaction.
Unless expressly agreed otherwise, Haubot does not issue the seller's invoice, calculate the seller's VAT, collect the purchase price, remit VAT, handle customs declarations or act as importer, exporter, consignee or consignor.
Haubot may issue invoices for Haubot platform fees, optional services, promotions, auction fees, inspection services or other Haubot charges.
Such Haubot invoices may be subject to applicable VAT or other taxes.
27. Sale, Ownership and Risk
For ordinary marketplace listings, any sale, rental, lease or other transaction is concluded directly between the relevant seller and buyer, unless Haubot expressly states otherwise in a specific transaction document.
Haubot does not determine when ownership transfers, when risk transfers, what documents are required, what Incoterms apply, what payment method is used, or what release conditions apply, unless expressly agreed in writing.
The seller and buyer are responsible for agreeing and documenting ownership transfer, payment, risk of loss, release, loading, transport, insurance, import, export and delivery arrangements.
28. Release, Collection, Loading and Transport
Unless Haubot expressly agrees otherwise in writing, the seller and buyer are solely responsible for release, collection, loading, transport, insurance, export, import and delivery.
Haubot does not possess, store, load, release, transport, insure or control listed items.
The seller is responsible for making the item available according to the listing and agreement with the buyer.
The buyer is responsible for arranging collection, transport, insurance, import and use of the item.
Haubot is not responsible for site access, loading equipment, transport suitability, driver authorization, loading damage, transport damage, export documents, import documents, customs clearance or delivery delays.
29. Listing Status and Availability Controls
Haubot may use listing statuses such as draft, pending review, published, active, archived, expired, sale pending, sold, cancelled, rejected or deleted.
These statuses are platform records and may not always reflect the final legal status of a transaction between users.
Haubot may restrict editing, archiving, deletion, relisting or type changes where a listing is connected to an active auction, pending transaction, deposit hold, dispute, service order, compliance review or platform enforcement action.
The seller must not attempt to bypass listing status restrictions.
30. Relisting
Haubot may allow certain listings to be relisted after expiry, unsuccessful auction, no bids, reserve not met or other permitted events.
Relisting may be subject to review, updated information, new auction settings, new deposits, new fees, updated photos, pricing changes or additional platform checks.
Haubot may block relisting where a listing is sold, sale pending, disputed, restricted, archived, cancelled for cause, under review or otherwise not eligible.
31. Ranking, Search and Visibility
Haubot may rank, sort, display, promote or recommend listings based on various factors, including:
- listing type;
- category;
- location;
- price;
- auction status;
- auction end time;
- seller activity;
- seller profile completeness;
- platform trust signals;
- listing quality;
- media quality;
- relevance to search;
- user filters;
- paid promotion;
- Haubot Managed status;
- optional service status;
- availability;
- compliance status;
- or other platform criteria.
Haubot may change ranking and visibility systems from time to time.
Publication of a listing does not guarantee impressions, inquiries, bids, offers, sales or ranking position.
32. Featured Listings and Promotions
Haubot may offer paid or unpaid promotion features, including featured listings, highlighted placement, sponsored visibility, category promotion or other marketing tools.
Promotional placement does not guarantee inquiries, bids, offers or sales.
Haubot may reject, limit, suspend or remove promotions for legal, compliance, quality, technical, category, trust or platform reasons.
33. Reviews, Ratings and Trust Signals
Haubot may allow users to leave reviews, ratings or feedback.
Haubot may also display trust signals, badges, profile completeness indicators, transaction indicators, response indicators, inspection indicators or other platform signals.
Haubot may moderate, remove, hide or restrict reviews or trust signals that are abusive, false, misleading, irrelevant, unlawful, retaliatory, manipulative or contrary to platform rules.
Haubot does not guarantee the accuracy, completeness or fairness of user reviews or trust signals.
34. Intellectual Property
Haubot owns or controls the platform, software, design, trademarks, trade names, logos, databases, user interface, platform structure and related intellectual property.
Users may not copy, scrape, reproduce, reverse engineer, misuse, resell or exploit Haubot's platform content, database, design, listings, user interface or software except as permitted by Haubot.
Submitting listing content does not transfer ownership of the seller's original intellectual property to Haubot, but grants Haubot the license described in these Terms.
35. Data and Platform Records
Haubot may collect, store and process data relating to listings, users, inquiries, bids, auctions, wallet holds, deposits, fees, disputes, messages, moderation actions, technical activity and platform records.
Haubot's server-side records may be used to determine listing status, auction status, bid records, deposit requirements, fee calculations, user declarations, moderation actions and platform enforcement decisions.
In case of discrepancy between a user interface display and Haubot's server-side records, Haubot's server-side records shall prevail unless Haubot determines that a material platform error occurred.
36. Technical Failures and Platform Errors
Haubot may suspend, modify, hide, remove, extend, reopen, cancel or correct listings, auctions or platform processes if Haubot determines that such action is reasonably necessary due to:
- technical malfunction;
- system outage;
- incorrect listing data;
- incorrect auction settings;
- incorrect price display;
- incorrect deposit or fee calculation;
- bidding irregularity;
- suspected manipulation;
- cyberattack;
- fraud risk;
- compliance concern;
- material platform error;
- force majeure;
- or any circumstance affecting the fairness, legality, integrity or operation of the platform.
Haubot is not liable for missed inquiries, missed bids, failed submissions, delays, connectivity issues, browser issues, device issues, email delivery failures, notification failures or user-side technical problems outside Haubot's reasonable control.
37. Account Restrictions and Enforcement
Haubot may restrict, suspend or terminate a user's access to listing tools or the platform where Haubot reasonably determines that the user:
- breached these Terms;
- breached other platform rules;
- provided false or misleading information;
- published prohibited listings;
- failed to complete a transaction;
- attempted to bypass Haubot;
- manipulated auctions or listings;
- failed to pay fees;
- failed to maintain required deposits;
- failed to cooperate with platform review;
- created legal, compliance, fraud or reputational risk;
- abused other users;
- or misused the platform.
Haubot may also remove listings, restrict visibility, cancel auctions, block inquiries, hold deposits, forfeit deposits, charge fees, waive fees, close disputes, mark statuses and take other platform enforcement action.
38. Indemnity
The seller agrees to indemnify and hold Haubot, its affiliates, directors, officers, employees, contractors and service providers harmless from claims, losses, liabilities, damages, costs and expenses arising from:
- seller-provided listing information;
- false or misleading listings;
- lack of authority to sell;
- ownership disputes;
- third-party rights;
- tax, VAT, customs or export issues;
- prohibited goods;
- seller breach of these Terms;
- seller breach of platform rules;
- seller fraud, negligence or misconduct;
- or any claim by a buyer, authority or third party arising from the seller's listing or transaction.
This indemnity does not apply to the extent the claim is caused by Haubot's gross negligence or intentional misconduct.
39. Limitation of Haubot Liability
To the maximum extent permitted by law, Haubot is not liable for:
- incorrect listing information;
- seller non-performance;
- buyer non-payment;
- hidden defects;
- condition of listed items;
- ownership disputes;
- tax or VAT treatment;
- customs issues;
- export or import restrictions;
- payment failures;
- bank delays;
- fraud by users;
- release, loading, transport or delivery issues;
- commercial losses;
- loss of profit;
- loss of opportunity;
- loss of use;
- downtime;
- reputational damage;
- third-party claims;
- indirect or consequential damages.
Haubot's total liability in connection with a listing shall not exceed the platform fees actually paid to Haubot in relation to the specific listing giving rise to the claim, unless mandatory law provides otherwise.
Nothing in these Terms limits liability for fraud, intentional misconduct, gross negligence or liability that cannot be excluded under applicable law.
40. No Guarantee of Results
Haubot does not guarantee that any listing will receive views, inquiries, bids, offers, sales, rentals, leases, responses, ranking position or commercial results.
The seller is responsible for the commercial attractiveness, accuracy, pricing, quality and competitiveness of its listings.
41. Amendments
Haubot may update these Terms from time to time.
The version applicable to a listing is the version in effect at the time the listing is submitted, published or materially updated, unless mandatory law or a specific written agreement provides otherwise.
Haubot may make immediate changes where necessary for legal, compliance, security, fraud prevention, technical or platform integrity reasons.
42. Governing Law and Jurisdiction
These Terms and any dispute between a user and Haubot relating to listings, listing tools, listing moderation, platform access, fees, deposits, platform records, account restrictions or these Terms are governed by the laws of the Netherlands, unless overriding mandatory law provides otherwise.
Any such dispute between a user and Haubot shall be submitted to the competent courts of Amsterdam, Netherlands, unless mandatory law requires another jurisdiction.
Any dispute between seller and buyer concerning the underlying sale, rental, lease, inquiry, payment, ownership, title, condition, release, loading, delivery, transport, taxes, customs, warranty, refund, cancellation, damages or performance is a dispute between those parties only.
43. English Version
These Terms may be translated into other languages.
If there is any conflict between the English version and a translation, the English version shall prevail, unless mandatory law provides otherwise.
44. Final Provisions
If any provision of these Terms is held to be invalid, unlawful or unenforceable, the remaining provisions shall remain in full force and effect.
Failure by Haubot to enforce any provision of these Terms shall not constitute a waiver of that provision.
Headings are for convenience only and do not affect interpretation.
In case of conflict between these Terms and listing-specific terms, the more specific listing-specific terms shall prevail for that listing, unless they are unlawful, clearly erroneous or inconsistent with mandatory platform enforcement rules.
